Inperium and SRVS Announce Affiliation

Inperium, Inc. has entered a binding letter of intent with Shelby Residential and Vocational Services, Inc. (“SRVS”), the largest provider of services for individuals with disabilities in West Tennessee. The transaction, which is expected to close on or before October 31, 2022, conditioned upon applicable state approvals, will add approximately $30 million to Inperium’s consolidated revenues, which total $350 million on an annualized basis. The transaction with SRVS, which will be Inperium’s first in Tennessee, was the eleventh executed by Inperium and introduced by Angler West.

Tyler Hampton, Executive Director of SRVS, commented: “This affiliation between SRVS and Inperium is an important next step in continuing and expanding the mission we have pursued for the past sixty years: to provide the services that people with disabilities need to live meaningful lives as members of their community.”

Discussing this latest transaction, Inperium Chief Executive Ryan Smith commented: “The transaction with SRVS was our third so far this calendar year, and each of these enabled Inperium to enter a new state. Our pipeline of new affiliation opportunities remains robust, and I anticipate accelerated activity as we continue to expand the depth and breadth of services available to people in need through the Inperium Constellation.”

Inperium Announces Section 363 Transaction

Conexio Care, Inc., an affiliate of Inperium, Inc., has acquired all of the business of Connections Community Support Programs, Inc. (“CCSP”), Delaware’s largest nonprofit human services provider. The transaction was concluded pursuant to Section 363 of the Bankruptcy Code. Conexio Care served as the stalking-horse bidder and acquired the business of CCSP for $12,725,000.

Conexio will provide a comprehensive array of healthcare, housing, and employment opportunities to assist individuals and families in achieving their goals. These services will be provided by approximately 1,100 staff working from more than 100 locations state-wide.

This transaction, which was the tenth executed by Inperium and introduced by Angler West, is expected to add approximately $72.5 million to Inperium’s consolidated revenues. Discussing this latest transaction, Inperium Chief Executive Ryan Smith commented: “We are pleased to be moving forward with this acquisition that will position Conexio for sustained, long-term success. The COVID crisis demonstrated conclusively that the services offered by Conexio are essential”.

Business Model Innovation and Nonprofit Human Services Consolidation

In human services and other industries, senior executives are focused on disruptions when it is transformation that poses an existential threat to incumbents.  The transformation of human services, and indeed the global economy, will be driven by the implementation of 5G and its attendant technologies, including big data, artificial intelligence, augmented reality, machine learning, autonomous vehicles, among others.

While it is often supposed that new entrants deploy radical technological change to replace incumbent firms, incumbents with financial and management resources, complementary assets, and interfirm collaboration experience frequently succeed in commercializing the new technologies and ultimately integrate the innovators.  For incumbent nonprofit human services providers, this outcome is effectively foreclosed absent an ability to access the substantial investment capital that will be required.

As in other fragmented industries, expectations of future turmoil have given rise to entrepreneurs who believe their firms can thrive through strategies focused on industry consolidation.   To succeed aspiring nonprofit consolidators must overcome inertia and advance industry consolidation by adopting an alternative to the parent-subsidiary holding company business model adopted by their predecessors.

A new white paper, Business Model Innovation for Nonprofit Consolidators: The Practitioners' Perspective, argues this new business model must challenge the long-standing presumption that the firm is the relevant domain for strategic planning and replace it with a network-centric alternative. This paradigm shift is essential because in the emerging health and human services industry, large diversified systems of interdependent providers with different assets and competencies, that address different diseases and populations by offering distinct services, will compete with one another to create and capture value.

Elwyn and Fellowship Health Resources Announce Affiliation

Transaction

Fellowship Health Resources, Inc. ("FHR"), a multi-state provider of behavioral health services, and Elwyn, one of the nation's oldest and largest providers of services to people with disabilities, have entered into a definitive affiliation agreement. Terms of the affiliation agreement were not disclosed but included a transfer of cash to FHR, which established Elwyn as FHR's sole member.

Headquartered in Rhode Island, FHR provides behavioral health services to improve the quality of life for individuals living with mental illness and addictions. FHR operates community-based programs in the states of Delaware, North Carolina, Pennsylvania, Virginia, Rhode Island, Massachusetts and Maine, supporting more than 7,000 individuals. Commenting on the affiliation with Elwyn, FHR's President & CEO Debra M. Paul explained: "The affiliation with Elwyn is the culmination of an extensive, board-directed process intended to advance FHR's mission over the long-term. We're excited to become part of Elwyn and to contribute to its leading role in the nation's behavioral health system of care". Inperium Announces Its First Acquisition of 2018

Transaction

Inperium Inc., which in 2015 became the nation's first not-for-profit human services organization to sponsor an employee stock ownership program, has entered into a definitive acquisition agreement with Alternative Consulting Enterprises, Inc ("ACE"), a Reading, PA based provider of licensed outpatient services including telepsychiatry. Terms of the acquisition agreement were not disclosed.

This acquisition was Inperium's first of 2018, after closing six change of control transactions in 2017.

ACE founder and chief executive Stephanie Hunsberger commented: "ACE has strived to offer consumers a full-service approach to care through its outpatient and telepsychiatry offerings. This transaction with Inperium will enable ACE to extend its services to a broader segment of consumers both clinically and geographically".

Inperium Chief Executive Ryan Smith commented regarding this transaction: "This unique transaction will enable Inperium to provide experienced licensed psychiatric services and related therapies to individuals in their homes or nearby satellite office locations using secure, federally approved telecommunication networks. Telepsychiatry offers expanded access to quality psychiatry clinicians that may not be readily available and provides these services in a more relaxed environment."
