Inperium and Edison Court Announce Affiliation

Transaction

Inperium Inc., the parent company of Supportive Concepts for Families, Inc., which in 2015 became the nation's first not-for-profit human services organization to sponsor an employee stock ownership program, has entered into a definitive affiliation agreement with Edison Court, Inc. Terms of the affiliation agreement were not disclosed but included Edison Court establishing Inperium as the sole member of Edison Court.

Edison Court provides responsive and innovative care to individuals and families facing behavioral and mental health challenges. Commenting on the affiliation with Inperium, Edison Court CEO Jay Deppeler explained: "This transaction enables our organization to extend our continuum of intensive care programs to counties in the Commonwealth in which Inperium has long been a trusted partner."

This affiliation was the second affiliation executed by Inperium, and will increase Inperium's consolidated revenues to more than $60 million annualized. Inperium Chief Executive Ryan Smith commented regarding the affiliation: "Inperium's strategic plan contemplates additional transactions in the Mid-Atlantic region in future periods, with at least one more deal likely to close in Fiscal 2017".

Oaks and Preferred Announce Affiliation

Oaks Integrated Care ("Oaks") has entered into a definitive affiliation agreement with Preferred Behavioral Health of NJ, Inc. ("Preferred"). The affiliation unifies two private, nonprofit health and social service agencies dedicated to serving children, adults and families living with a mental illness, addiction or developmental disability in New Jersey. Affiliating will allow the organizations to expand geographically, strengthen service delivery and maximize efficiencies. Terms of the affiliation agreement were not disclosed but included Preferred establishing Oaks as the sole member of Preferred. Angler West initiated this transaction and provided advisory services pursuant to an agreement with Oaks.

Woods Resources Announces Affiliation With Archway Programs

Transaction

Woods Resources ("Woods"), one of the nation's largest and best capitalized not-for-profit human services organizations, has entered into a definitive affiliation agreement with The Archway Programs, Inc. and The Archway Programs Foundation, Inc. ("Archway"). 

Pennsylvania-based Woods and its affiliates provide residential, educational, vocational, healthcare and related services to children and adults with developmental disabilities or traumatic brain-injury. Archway operates two special education schools and offers community-based residential and support services to children and adults with behavioral, mental health, emotional, developmental and multiple disabilities in South Jersey.

Terms of the affiliation agreement were not disclosed but included Archway establishing Woods as the sole member of Archway. Notably, the transaction was concluded in just 71 days following the commencement of discussions.

Angler West initiated this transaction and provided advisory services pursuant to an agreement with Woods.
