Eden Autism Services Acquires NJ Provider

New Jersey Transaction

On June 30, 2010 Eden Autism Services ("Eden"), a New Jersey nonprofit corporation, acquired certain assets and all operations of Behavior Counts, L.L.C., a New Jersey private, for-profit provider of customized behavioral and educational programs based on thorough evaluations and the best practices of Applied Behavior Analysis. Terms of the transaction were not disclosed.

Angler West initiated this transaction pursuant to a Financial Advisory Agreement with Eden. This transaction was Angler West's initial transaction with Eden, and a rare instance of a nonprofit acquiring a for-profit human services provider.

First Children Acquires NJ Approved Private School

New Jersey Transaction

First Children, L.L.C., a New Jersey limited liability company, has entered into a definitive agreement to acquire Children's Specialized Hospital's approved private school for children with disabilities in Union County, NJ.

The Children's Specialized School is licensed by the New Jersey Department of Education to serve 120 students. These students have disabilities including neurological impairments, autism and mental retardation. Terms of the transaction were not announced. First Children L.L.C. is managed by Salisbury Management, Inc.

Angler West initiated this transaction and provided advisory services pursuant to a financial advisory agreement with Salisbury. The transaction was Angler West's first with Salisbury.

About First Children, L.L.C.

First Children is a newly incorporated limited liability company offering special education and related services. Owned by Joseph J. Hess, Jr., the company plans to expand its service offerings in New Jersey and other Mid-Atlantic states. Mr. Hess is the President of Mountain Eagle Group, LLC, a professional services company serving the financial needs of education, health and human service organizations. Mr. Hess has over twenty-five years of experience running approved private schools and related services as the former President of Bancroft NeuroHealth.

Sequel Acquires Arizona Provider

Arizona Transaction

On August 4, 2008 Sequel Youth and Family Services, LLC ("Sequel"), a private for-profit provider of residential and community-based youth services, acquired all the equity interests of Daybreak Behavioral Resources, LLC, an Arizona provider of residential, therapeutic foster care, school and outpatient services. Terms of the transaction were not disclosed.

Angler West initiated this transaction pursuant to a financial advisory agreement with Sequel. This transaction was Angler West's second transaction with Sequel.

Client Information

Sequel Youth and Family Services, LLC is a privately owned company that develops and operates residential treatment facilities and a broad continuum of community-based services for at-risk and adjudicated youth. Sequel offers a variety of treatment options for both males and females, including long-term residential treatment, sexual offender treatment, short-term impact programs, shelter care, community-based services, and alternative day-school programs. Services are currently provided in Arizona, Florida, Iowa, Wyoming and Michigan. Sequel serves youth from multiple states and placing agencies.
